1. Acceptance of Terms
Welcome to Conxbot. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our service.
- Age Requirement: You must be at least 18 years old or represent a business entity
- Business Use: Registration requires a business email address
- Modification Rights: We reserve the right to modify these Terms with notice to users
2. Service Description
Conxbot is a multi-tenant SaaS platform that provides:
- AI-powered email generation for contact communication
- Campaign management and tracking
- Gmail API integration for email sending and reply monitoring
- Contact profile and contact management
- Email engagement analytics
- Multi-user organization management
3. Account Terms
3.1 Account Creation
- You must provide a valid business email address (personal email domains are not accepted)
- You are responsible for maintaining the security of your account password
- You must notify us immediately of any unauthorized account access
- One person or entity may maintain only one account
3.2 Organization Management
- Owner Role: Full control over organization settings, billing, and user management
- Admin Role: Can manage contacts, campaigns, and invite users (no billing access)
- Member Role: Can view and manage assigned contacts and campaigns
- Account owners are responsible for all activity under their organization
3.3 Account Security
- You are responsible for all activity that occurs under your account
- You must use a strong, unique password
- You must not share your login credentials with others
- We are not liable for losses caused by unauthorized account access
4. User Responsibilities & Acceptable Use
You agree to use Conxbot in compliance with all applicable laws and regulations. Specifically:
4.1 Email Compliance
- CAN-SPAM Act Compliance: Include accurate sender information and honor opt-out requests
- GDPR Compliance: Obtain proper consent before sending emails to EU recipients
- CASL Compliance: Follow Canadian anti-spam laws if applicable
- Truthful Content: Do not send misleading or deceptive emails
4.2 Prohibited Activities
You must NOT:
- Send unsolicited bulk emails (spam)
- Send emails containing illegal, harmful, or offensive content
- Impersonate others or misrepresent your identity
- Violate any recipient's privacy rights
- Use the platform for phishing, scams, or fraud
- Attempt to access other users' accounts or data
- Reverse engineer or attempt to extract source code
- Use automated tools to scrape or harvest data
- Overload our systems or interfere with service operation
4.3 Recipient Opt-Out
You must respect recipient opt-out requests. Continuing to email someone who has requested removal from your list violates these Terms and may result in account suspension.
5. Gmail API Integration Terms
5.1 Authorization
When you connect your Gmail account, you authorize Conxbot to:
- Send emails on your behalf from your Gmail account
- Read email messages to track replies to your campaigns
- Modify emails (apply labels, organize folders)
- Access your email address for account identification
5.2 Revocation
You can revoke Gmail access at any time through:
- Conxbot Settings > Gmail Settings
- Google Account settings at myaccount.google.com/permissions
5.3 User Responsibility
- You are responsible for all email content sent through the platform
- You must comply with Google's Terms of Service
- You must not use Gmail integration for prohibited activities listed in Section 4.2
5.4 Limited Use Compliance
Conxbot complies with Google API Services User Data Policy, including Limited Use requirements. We do not use Gmail data for advertising, AI training, or sale to third parties.
6. Subscription & Billing
6.1 Plan Types
- Free Plan: Limited features, no credit card required
- Pro Plan: Advanced features, monthly or annual billing
- Enterprise Plan: Custom features, custom pricing
6.2 Payment Processing
- Payments are processed securely via Stripe
- We do not store your credit card information
- Billing cycles are monthly or annual as selected
- Subscriptions auto-renew unless cancelled
6.3 Pricing Changes
We may change our pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate for the remainder of their billing cycle.
6.4 Overage Charges
If you exceed your plan's limits (e.g., email volume, token usage), additional charges may apply as outlined in your plan details.
7. Refund & Cancellation Policy
7.1 Free Plan
No charges apply, so no refunds are necessary. You can delete your account at any time.
7.2 Paid Plans
- 30-Day Money-Back Guarantee: Request a full refund within 30 days of initial purchase
- After 30 Days: No refunds for partial billing periods
- Annual Plans: Prorated refunds may be considered on a case-by-case basis
7.3 Cancellation
- You can cancel your subscription at any time through Settings > Billing
- Cancellation is effective at the end of your current billing period
- You will retain access until the billing period ends
- Cancelled accounts do not receive prorated refunds (except as noted in 7.2)

8. Intellectual Property
8.1 Conxbot IP
Conxbot retains all intellectual property rights in:
- The Conxbot platform, software, and code
- Conxbot branding, logos, and trademarks
- Documentation and training materials
- AI models and algorithms (excluding user-generated content)
8.2 User Content Ownership
You retain ownership of:
- Your dealer data and contact lists
- Email content you create or generate
- Campaign strategies and templates
8.3 License to Use
By using Conxbot, you grant us a limited, non-exclusive license to use your content solely for providing the service (e.g., storing data, processing emails, generating AI responses).
8.4 AI-Generated Content
You own all content generated by our AI tools. We do not claim ownership of AI-generated emails or text.
9. Data Ownership & Processing
9.1 Your Data
You own all business data you input into Conxbot. We act as a data processor on your behalf.
9.2 Data Isolation
Your organization's data is isolated in tenant-specific schemas. Other users cannot access your data.
9.3 Data Export
You can export your data at any time in JSON or CSV format through Settings > Data Export.
10. Service Availability
10.1 "As-Is" Service
Conxbot is provided "as-is" without warranties of any kind, express or implied.
10.2 Uptime Commitment
We strive for high uptime but do not guarantee uninterrupted service. We will make reasonable efforts to:
- Maintain service availability
- Provide notice of scheduled maintenance
- Minimize unplanned downtime
10.3 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue features with notice
- Perform maintenance windows
- Update the platform to improve security and performance
11. Limitation of Liability
To the maximum extent permitted by law:
11.1 Indirect Damages
Conxbot is not liable for indirect, incidental, special, consequential, or punitive damages, including:
- Lost profits or revenue
- Loss of business opportunities
- Loss of data (use backups)
- Service interruptions
11.2 Liability Cap
Our total liability to you for all claims is limited to the amount you paid us in the 6 months preceding the claim.
11.3 Exceptions
This limitation does not apply to liability for:
- Gross negligence or willful misconduct
- Death or personal injury
- Fraud or fraudulent misrepresentation
12. Termination
12.1 Termination by You
- You may cancel your account at any time through Settings
- Cancellation is effective at the end of your billing period
- You can request immediate termination by contacting support
12.2 Termination by Us
We may suspend or terminate your account for:
- Violation of these Terms
- Illegal activity or abuse
- Non-payment of fees
- Suspected fraud or security risks
12.3 Data Retention After Termination
- Your data is retained for 30 days after termination
- You can export data before or within this 30-day window
- After 30 days, all data is permanently deleted (except backup retention per Privacy Policy)
12.4 No Refunds on Termination
If we terminate your account for Terms violations, no refunds will be issued for partial billing periods.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the United States and the state where Conxbot is incorporated, without regard to conflict of law principles.
13.2 Informal Resolution
Before filing a legal claim, please contact us at legal@conxbot.com to attempt to resolve the dispute informally.
13.3 Arbitration (Optional)
Disputes may be resolved through binding arbitration rather than court litigation. Both parties agree to waive the right to a jury trial.
13.4 Class Action Waiver (Optional)
You agree to resolve disputes individually and waive the right to participate in class action lawsuits.
14. Miscellaneous
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Conxbot.
14.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
14.3 No Waiver
Failure to enforce any provision does not constitute a waiver of that provision.
14.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms to any successor entity.
14.5 Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control (e.g., natural disasters, pandemics, infrastructure failures).
